Default Modify fat32 pen drive to ntfs

I place 1 GB file on 4G USB memory drive. All moving well but when I connected to friend PC; it shows folder was empty. But in properties it shows as 1GB is used. I tried to change file system from FAT32 to NTFS. Also format it totally, but it shows "cannot create elementary file system structure". So please provide me some help related to this.
